Legal Notice: These Terms of Service are provided as a legally structured operational document. They do not constitute formal legal advice. Cyberarcmsp Consulting Services LLP recommends periodic review by a qualified legal professional to ensure full compliance with applicable laws and regulations.

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Cyberarcmsp Consulting Services LLP (“Cyberarcmsp Consulting Services LLP,” “Company,” “we,” “our,” or “us”), governing your access to and use of the platform at www.cyberarcmsp.com and all associated services (collectively, the “Services”).

By creating an account, accessing, or using our Services, you confirm that:

You have read, understood, and agree to be bound by these Terms;
You are at least 18 years of age;
You have the full legal capacity and authority to enter into this agreement;
If acting on behalf of a company or organization, you have the authority to bind that entity to these Terms; and
You agree to comply with our Privacy Policy, Acceptable Use Policy, and Data Handling Disclosure, each of which is incorporated into these Terms by reference.

If you do not agree to these Terms, you must not access or use the Services.

2. Description of Services

Cyberarcmsp Consulting Services LLP provides a cloud-based Software-as-a-Service (SaaS) platform designed for IT consulting, managed service operations, lead and data management, client collaboration, and related business functions.

The specific features and functionalities available to you depend on your chosen subscription plan. We reserve the right to modify, enhance, suspend, or discontinue any feature of the Services at any time, with or without prior notice, and without liability to you.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Platform, you must register for an account by providing accurate, complete, and current information. You agree to promptly update your information to keep it accurate at all times.

3.2 Account Credentials and Responsibility

You are solely responsible for:

Maintaining the strict confidentiality of your account credentials (username and password);
All activities that occur under your account, whether or not authorized by you;
Immediately notifying Cyberarcmsp Consulting Services LLP at contact@cyberarcmsp.com if you suspect any unauthorized access to or use of your account.

Cyberarcmsp Consulting Services LLP will not be liable for any loss or damage resulting from your failure to secure your credentials.

3.3 Account Restrictions

Unless expressly authorized by Cyberarcmsp Consulting Services LLP in writing:

Each individual user may maintain only one active account;
Accounts must not be created using automated methods or under false pretenses;
Account credentials may not be shared with unauthorized individuals.

3.4 Account Suspension and Termination by Us

We reserve the right to suspend or permanently terminate your account without prior notice if we determine, in our reasonable judgment, that you have:

Provided false, misleading, or inaccurate registration information;
Violated these Terms, our Acceptable Use Policy, or any applicable law;
Engaged in conduct that poses a risk to the Platform, our systems, or other users.

4. Subscription Plans and Payments

4.1 Subscription Tiers

Access to the Platform is available on a subscription basis. Details of available plans, features, and current pricing are available at www.cyberarcmsp.com/pricing.

4.2 Billing and Payment Terms

Subscription fees are billed in advance on a monthly or annual cycle, as selected at the time of purchase.
By subscribing, you authorize Cyberarcmsp Consulting Services LLP (or our designated payment processor) to charge your designated payment method for all applicable fees.
All fees are stated in Indian Rupees (INR) unless otherwise specified, and are exclusive of applicable taxes.

4.3 Taxes

You are responsible for all applicable taxes, goods and services tax (GST), duties, or governmental levies associated with your use of the Services, except for taxes imposed on Cyberarcmsp Consulting Services LLP’s net income.

4.4 Refund Policy

Refunds may be initiated within 7 days of the subscription payment, subject to a 50% processing fee (i.e., a 50% refund of the payment will be issued). No refunds will be provided for requests made after the 7-day period.

All other fees paid are non-refundable except:

As expressly stated in a separate written refund or service-level agreement; or
As required by applicable law, including the Consumer Protection Act, 2019 (India).

4.5 Price Changes

Cyberarcmsp Consulting Services LLP reserves the right to modify subscription pricing at any time. We will provide at least 30 days’ advance notice via email or Platform notification before price changes take effect. Continued use of the Services following the effective date of a price change constitutes your acceptance of the updated pricing.

4.6 Free Trials

Where a free trial is offered, the trial period will begin on your registration date and expire on the date specified in the trial offer. Upon expiration, you will be automatically billed unless you cancel prior to the trial end date.

5. User Content

5.1 Ownership of Your Content

You may upload, submit, store, or transmit data, files, documents, or other content through the Platform (“User Content”). You retain full ownership of all intellectual property rights in your User Content.

5.2 License Grant to Cyberarcmsp Consulting Services LLP

By submitting User Content, you grant Cyberarcmsp Consulting Services LLP a limited, non-exclusive, worldwide, royalty-free license to:

Store, host, process, reproduce, and display your User Content solely to the extent necessary to provide and maintain the Services; and
Create backups and perform technical operations required to ensure Platform security and integrity.

We will not use your User Content for any purpose beyond what is necessary to operate the Services, as described in our Privacy Policy.

5.3 Your Warranties Regarding Content

By uploading User Content, you represent and warrant that:

You own or have obtained all necessary rights, licenses, and permissions to upload and use such content;
Your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party;
Your User Content does not violate any applicable law or regulation; and
Your User Content does not contain malicious code, viruses, or any harmful components.

5.4 Content Removal

Cyberarcmsp Consulting Services LLP reserves the right, at its sole discretion, to remove, disable, or restrict access to any User Content that violates these Terms, applicable law, or is otherwise deemed harmful or objectionable, without prior notice.

6. Intellectual Property Rights

6.1 Cyberarcmsp Consulting Services LLP’s Intellectual Property

The Platform and all content created by Cyberarcmsp Consulting Services LLP including but not limited to software, design elements, features, interfaces, trademarks, logos, and documentation (collectively, “Cyberarcmsp Consulting Services LLP IP”) — is owned by or licensed to Cyberarcmsp Consulting Services LLP and is protected under applicable copyright, trademark, patent, and other intellectual property laws, including the Copyright Act, 1957 (India) and the Trade Marks Act, 1999 (India).

6.2 Limited License to You

Subject to your compliance with these Terms, Cyberarcmsp Consulting Services LLP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes during your active subscription term.

6.3 Restrictions

You may not:

Copy, modify, distribute, sell, sublicense, or lease any part of the Platform or its underlying software;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
Use the Platform or Cyberarcmsp Consulting Services LLP IP to build or develop a competing product or service;
Frame or mirror the Platform on any other website or server without prior written consent;
Remove, obscure, or alter any proprietary notices, labels, or marks appearing on the Platform.

7. Prohibited Conduct

You agree not to use the Platform to:

Violate any applicable local, state, national, or international law or regulation, including Indian law;
Upload, transmit, or distribute malware, ransomware, spyware, or any malicious software;
Gain or attempt to gain unauthorized access to any part of the Platform, other user accounts, or backend systems;
Conduct or facilitate denial-of-service attacks or any activity that disrupts the Platform’s availability;
Harvest, scrape, or extract data from the Platform without prior written consent from Cyberarcmsp Consulting Services LLP;
Impersonate any individual, entity, or organization, or misrepresent your affiliation;
Transmit unsolicited commercial communications (spam), phishing messages, or deceptive content;
Circumvent, disable, or interfere with any security, authentication, or access control feature;
Engage in any conduct that could harm Cyberarcmsp Consulting Services LLP, its users, or its reputation.

Violations may result in immediate account termination, reporting to law enforcement, and civil or criminal legal action.

8. Third-Party Services and Integrations

The Platform may integrate with or provide links to third-party services and platforms (“Third-Party Services”). Your use of Third-Party Services is governed by their respective terms and privacy policies. Cyberarcmsp Consulting Services LLP is not responsible for the availability, accuracy, content, or practices of any Third-Party Services and makes no warranties with respect to them.

9. Service Availability and Modifications

9.1 Availability

Cyberarcmsp Consulting Services LLP strives to maintain high Platform availability. However, we do not guarantee uninterrupted, error-free access. Planned and emergency maintenance may result in temporary interruptions. We will endeavor to provide advance notice of scheduled downtime where reasonably practicable.

9.2 Modifications to Services

We reserve the right to update, modify, or discontinue the Services or any feature thereof at any time. Significant changes will be communicated to users via email or Platform notification with reasonable advance notice.

10. Warranties and Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Cyberarcmsp Consulting Services LLP EXPRESSLY DISCLAIMS:

ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR HARMFUL COMPONENTS;
ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT OR DATA ON THE PLATFORM.

Nothing in these Terms limits any statutory rights you may have under the Consumer Protection Act, 2019 (India) or other applicable consumer protection legislation that cannot be excluded by contract.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Cyberarcmsp Consulting Services LLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICES;
Cyberarcmsp Consulting Services LLP’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO Cyberarcmsp Consulting Services LLP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) INR 10,000 (TEN THOUSAND RUPEES);
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF Cyberarcmsp Consulting Services LLP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations do not apply where prohibited by applicable law, including in cases of gross negligence, willful misconduct, or fraud.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cyberarcmsp Consulting Services LLP and its officers, directors, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, penalties, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your access to or use of the Services;
Your User Content;
Your violation of these Terms or any applicable law or regulation;
Your infringement of any third-party rights, including intellectual property or privacy rights.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at contact@cyberarcmsp.com or through the account settings on the Platform. Termination does not entitle you to a refund of prepaid fees, except as required by applicable law.

13.2 Termination by Cyberarcmsp Consulting Services LLP

Cyberarcmsp Consulting Services LLP may suspend or permanently terminate your account immediately and without prior notice if you:

Breach any provision of these Terms or our Acceptable Use Policy;
Fail to pay applicable subscription fees after reasonable notice;
Engage in any conduct that, in our reasonable judgment, is harmful to the Platform, our users, or our business.

13.3 Effect of Termination

Upon termination:

Your right to access and use the Services ceases immediately;
Cyberarcmsp Consulting Services LLP may delete your data in accordance with our Privacy Policy and Data Handling Disclosure;
All provisions that by their nature should survive termination shall do so, including Sections 6 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law).

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, including the Information Technology Act, 2000, the Contract Act, 1872, and other applicable statutes, without regard to conflict of law principles.

14.2 Jurisdiction

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.

14.3 Dispute Resolution

The parties agree to first attempt resolution of any dispute through good-faith negotiation for a period of 30 days following written notice of the dispute. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India), or resolved through applicable court proceedings in Hyderabad.

14.4 Class Action Waiver

To the extent permitted by applicable law, you agree to resolve any dispute with Cyberarcmsp Consulting Services LLP on an individual basis and waive any right to participate in class action proceedings.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, and Data Handling Disclosure, constitute the entire agreement between you and Cyberarcmsp Consulting Services LLP regarding the Services and supersede all prior agreements.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Cyberarcmsp Consulting Services LLP’s failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Cyberarcmsp Consulting Services LLP may freely assign these Terms, including in connection with a merger or acquisition.
Force Majeure: Cyberarcmsp Consulting Services LLP shall not be liable for delays or failures in performance caused by events beyond our reasonable control, including acts of God, natural disasters, government actions, or telecommunications failures.
Notices: We may provide notices by email to your registered address or by posting to the Platform. Notices to Cyberarcmsp Consulting Services LLP must be sent to contact@cyberarcmsp.com.
